Terms of Service
Effective date: July 5, 2026
These Terms of Service (“Terms”) are a binding agreement between you and Visuary LLC (“Visuary,” “we,” “us”) governing your use of visuary.ai, our web applications, APIs, and connector services, and any Visuary product you access through your account (collectively, the “Services”). Some Services have additional, product-specific terms, which are incorporated into these Terms by reference (see Section 5 and Schedule A). By creating an account, connecting to a Service, or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to it.
1. The Services
Visuary provides data and analysis tools for health-insurance and employee-benefits professionals. The online Services are currently offered free of charge, with usage limits we may change at any time. Certain products and expanded access are available only under separate written agreements (see Section 6). We may add, change, or discontinue features, free tiers, or usage limits at our discretion.
2. Eligibility and accounts
You must be at least 18 years old and using the Services for business or professional purposes. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity under your account. Accounts are for a single individual; do not share credentials. Notify us promptly, through the contact form on our Site, of any suspected unauthorized use.
3. Acceptable use
You agree not to:
- submit any individually identifiable health information or other member-level data (enrollment records, claims, medical information) to the Services;
- use the Services in violation of any law or third-party right;
- circumvent, or attempt to circumvent, authentication, usage quotas, or rate limits, including by creating multiple accounts;
- resell, sublicense, or provide the Services to third parties as a service bureau without our written agreement;
- represent any output of the Services as an official, certified, or government-produced determination;
- reverse engineer the Services except to the extent permitted by law, or use the Services to build a competing dataset by systematic bulk extraction.
We may suspend or terminate access for violations.
4. Connector services and AI assistants
Certain Services are delivered as connectors (“MCP servers” or similar) that you access through a third-party AI assistant, such as Anthropic’s Claude. Your relationship with the AI assistant is governed solely by its provider’s terms. We receive only the requests the assistant sends to our tools; we do not see your conversation. We are not responsible for how an AI assistant interprets, summarizes, narrates, or acts on our tool outputs. The authoritative output of a Service is the content our tools return, not the assistant’s restatement of it.
5. Additional product terms
Some Services have additional, product-specific terms and disclaimers (for example, the Actuarial Value Calculator; see Schedule A below). Those additional terms are incorporated into these Terms by reference and apply when you use the relevant Service. If additional terms conflict with these Terms for that Service, the additional terms control for that Service only.
6. Paid offerings and separate agreements
We do not currently sell subscriptions or accept payment through the Services. Paid products, expanded usage, and commercial deployments are offered under separate written agreements negotiated between Visuary and you or your organization. If you or your organization have a signed agreement with Visuary, that agreement controls over these Terms to the extent of any conflict. If we later introduce online paid subscriptions, the applicable billing terms will be posted before any purchase.
7. Your content and our IP
You retain all rights to documents and data you submit to the Services (“Your Content”). You grant us a limited, non-exclusive license to process Your Content solely to provide the Services to you. We claim no ownership of outputs generated from Your Content, but you acknowledge that similar or identical outputs may be generated for other users from similar inputs. The Services — including software, models of presentation, and documentation — are owned by Visuary or its licensors. If you send us feedback, we may use it without obligation.
8. Third-party services
The Services interoperate with and depend on third-party service providers (including identity, hosting, and AI-model providers, described by category in our Privacy Policy). We are not responsible for third-party services, and your use of them may be subject to their own terms.
9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT OUTPUTS ARE ACCURATE, COMPLETE, OR SUITABLE FOR ANY REGULATORY OR COMPLIANCE PURPOSE, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. Outputs are for informational and decision-support purposes and are not actuarial, legal, tax, or benefits advice.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISUARY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO THE SERVICES. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THAT PERIOD AND (B) ONE HUNDRED U.S. DOLLARS ($100).
11. Indemnification
You will indemnify and hold Visuary harmless from claims arising out of Your Content, your violation of these Terms (including submission of prohibited data), or your use of outputs in advice, filings, or decisions affecting third parties.
12. Termination
You may stop using the Services and delete your account at any time. We may suspend or terminate the Services or your access for violation of these Terms, for extended inactivity on free tiers, or upon discontinuation of a Service. Sections 7 and 9–14, and any surviving terms of a Schedule, survive termination.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced by email or in-product notice at least 14 days before taking effect; continued use after the effective date constitutes acceptance.
14. Governing law and disputes
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws rules. The state and federal courts located in Illinois have exclusive jurisdiction over disputes arising from these Terms or the Services, and each party consents to their jurisdiction.

Schedule A — Actuarial Value Calculator (Additional Terms)
These additional terms supplement the Terms of Service and Privacy Policy and apply when you use the Visuary Actuarial Value Calculator connector (the “AV Calculator”). Capitalized terms have the meanings given above.
A.1 Nature of the AV Calculator; disclaimers
Not the official CMS calculator. The AV Calculator is an independent implementation of the methodology of the CMS Updated Revised Final 2026 Actuarial Value Calculator (September 2025 release). It is not the official CMS AV Calculator, and Visuary is not affiliated with, endorsed by, or sponsored bythe Centers for Medicare & Medicaid Services (CMS), the U.S. Department of Health and Human Services, or any government agency.
Estimates only. Outputs are estimates for informational and decision-support purposes only. They are not actuarial, legal, tax, or benefits advice, and no professional-client relationship is created by your use of the AV Calculator. Actuarial value determinations for regulatory purposes (including under 45 C.F.R. § 156.135) must be made using the official CMS AV Calculator. Results depend on the inputs supplied by you or your AI assistant and may differ from values certified in regulatory filings. You are responsible for verifying any output before relying on it in advice to clients or in any filing.
Metal-tier labels. Any metal-tier label the AV Calculator returns is a non-statutory rule of thumb attached to the estimated actuarial value, not an official metal-level designation.
A.2 How your data is handled
In-memory, not stored. Document text and plan-design parameters you or your AI assistant submit to the AV Calculator are processed transiently in memory to compute a result and are not stored after the request completes. Consistent with the Privacy Policy, we log only metadata about the request, never the content.
Optional server-side extraction. If you use the optional document-extraction tool, the document text is sent to a third-party AI model provider to convert it into a structured plan design. Per that provider’s API terms, inputs are not used to train its models. The text is processed for that request only and is not stored by Visuary.
No PHI. As stated in the Terms of Service, submit plan-level documents only (e.g., Summaries of Benefits and Coverage, plan brochures). Do not submit member-level or individually identifiable health information.
